Welcome to Hefei Meibie Commerce And Trade Co., Ltd. These Terms of Service (“Terms”) govern your access to and use of our website at https://www.xipeng.shop (the “Site”) and the services provided by Hefei Meibie Commerce And Trade Co., Ltd. (“we,” “our,” or “us”). By accessing or using our Site or services, you agree to be bound by these Terms.
“Company” refers to Hefei Meibie Commerce And Trade Co., Ltd.
“Services” refers to all professional technology services provided by the Company.
“Client” or “You” refers to the individual or entity accessing the Site or using our Services.
By accessing our Site, submitting an inquiry, or engaging our Services, you confirm that you have read, understood, and agree to these Terms. We reserve the right to modify these Terms at any time. Your continued use after modifications constitutes acceptance.
The Company provides professional services in computer systems design, computer integrated systems design, IT consulting, web and cloud solutions, cybersecurity, data analytics, and related technology services. Specific scope, deliverables, timelines, and fees will be outlined in a separate Statement of Work (“SOW”).
The Company retains all rights to its pre-existing intellectual property. Deliverables developed specifically for a Client under a paid engagement become the Client's property upon full payment. All Site content is protected by applicable intellectual property laws.
Fees are set forth in the applicable SOW or invoice. Invoices are due within thirty (30) days. Late payments may incur interest at 1.5% per month. Client is responsible for all applicable taxes.
Both parties agree to maintain confidentiality of proprietary information disclosed during the engagement. This obligation survives termination for five (5) years.
The Company shall not be liable for indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed fees paid in the twelve (12) months preceding the claim.
Services and Site are provided “as is” without warranties of any kind, express or implied.
Client agrees to indemnify the Company from claims arising out of Client's use of Services, violation of Terms, or violation of third-party rights.
Either party may terminate a SOW per its provisions. Company may terminate these Terms if Client breaches and fails to cure within fifteen (15) days. Payment and confidentiality provisions survive termination.
These Terms are governed by the laws of the People's Republic of China. Disputes shall be resolved through good-faith negotiations, then binding arbitration in Hefei, Anhui under CIETAC rules.
Neither party is liable for delays caused by events beyond reasonable control, including acts of God, war, terrorism, government actions, or internet disruptions.
These Terms together with any SOW constitute the entire agreement between the parties.
If any provision is found unenforceable, the remaining provisions remain in effect.
